Agreement to Terms
These Terms of Service ("Terms") govern your use of EvergreenAI's website at evergreenai.live and all related services provided by EvergreenAI LLC ("EvergreenAI," "we," "us," or "our"), headquartered in Indianapolis, Indiana.
By using our site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
Services Description
EvergreenAI provides digital marketing services to local service businesses, including:
- AI-powered website design and development
- Local SEO and Google Business Profile management
- AI-assisted lead generation and business outreach
- Reputation management and review generation
- Analytics, reporting, and marketing performance tools
Services are described in individual service agreements or proposals. These Terms apply alongside any such agreements.
SMS Communications
By providing a phone number to EvergreenAI, you consent to receive SMS messages related to our outreach and services. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time, or HELP for assistance. Carriers are not liable for delayed or undelivered messages. EvergreenAI does not share your phone number with third parties for marketing purposes.
SMS outreach from EvergreenAI is directed exclusively to business owners and operators in a professional B2B context. All messages include clear sender identification and honor STOP requests immediately and permanently. After replying STOP, you will receive a single confirmation message and no further messages.
Acceptable Use
You agree not to:
- Use our website or services for any unlawful purpose
- Attempt to gain unauthorized access to any part of our systems
- Interfere with the security or functionality of our platform
- Misrepresent your identity or affiliation when engaging with us
- Reproduce, duplicate, or resell any part of our services without written permission
Subscription and Payment Terms
Clients who engage EvergreenAI on a recurring basis agree to the payment terms set out in their individual service agreement. Unless otherwise stated:
- Subscriptions are billed monthly in advance
- Fees are non-refundable except as required by law
- You may cancel with 30 days' written notice; cancellation takes effect at the end of the current billing period
- EvergreenAI may suspend services for non-payment after reasonable notice
Pricing and scope are defined in the applicable proposal or service agreement. We reserve the right to adjust pricing with 30 days' advance notice.
Intellectual Property
All content on evergreenai.live — including text, graphics, code, and tools — is the property of EvergreenAI or its licensors. You may not reproduce or distribute our content without written permission.
Work product created for clients (websites, copy, campaigns) is licensed to the client upon full payment. EvergreenAI retains the right to display completed work in our portfolio unless otherwise agreed.
Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information about their business
- Responding to requests for content, approvals, or access in a timely manner
- Ensuring they own or have rights to any materials they provide to us
- Complying with all applicable laws governing their business and marketing
Limitation of Liability
To the maximum extent permitted by law, EvergreenAI's total liability for any claim arising from these Terms or our services shall not exceed the fees you paid in the three months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, even if advised of the possibility of such damages.
We do not guarantee specific results from our marketing services (e.g., search rankings, lead volume, revenue). Digital marketing outcomes depend on many factors outside our control.
Disclaimer of Warranties
Our services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose, to the extent permitted by law.
Indemnification
You agree to indemnify and hold EvergreenAI harmless from any claims, losses, or expenses (including attorney fees) arising from your use of our services, your content, or your violation of these Terms.
Termination
Either party may terminate a service relationship with 30 days' written notice, subject to the payment terms in the applicable service agreement. EvergreenAI may terminate immediately for material breach or non-payment. Upon termination, your access to our platforms and tools will be discontinued.
Governing Law
These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Marion County, Indianapolis, Indiana. You consent to personal jurisdiction in those courts.
Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Continued use of our services after any update constitutes acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify active clients.
